Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the EPM Workbench hosted services — the account portal, subscription billing, and the hosted Groovy language server (together, the “Service”). Your use of the EPM Workbench extension software itself is governed by the End User License Agreement (the “EULA”); where these Terms and the EULA overlap, the EULA governs the software license and these Terms govern the paid Service. By creating an account, starting a trial, or buying seats, you agree to these Terms.
1. The Service and tiers
Section titled “1. The Service and tiers”EPM Workbench is offered in tiers. The Free tier requires no account or payment. Paid tiers (Offline and Full) are unlocked per person with a Seat Key.
2. Seats and licensing
Section titled “2. Seats and licensing”- A seat is one named person, not a machine or a role. One person may activate their Seat Key on as many machines as they personally use.
- Seats are assigned, reassigned, and revoked by your account admins from the portal. Reassigning a seat when someone leaves deactivates the prior key.
- You may not share, resell, sublicense, or circumvent a Seat Key, or share or circumvent the Corpus / Full Application Intelligence gate. We reserve the right to revoke keys used in violation of these Terms.
3. Trial
Section titled “3. Trial”Paid features may be offered on a 14-day trial that requires no payment up front. Unless you cancel before the trial ends, the trial converts to a paid, auto-renewing subscription at the then-current rate. Nothing is bricked when a trial ends without conversion — the install degrades to Free (see §7).
4. Fees, billing, and auto-renewal
Section titled “4. Fees, billing, and auto-renewal”- Paid tiers are billed per seat, per month in US dollars. Indicative rates are $15/seat/month (Offline) and $30/seat/month (Full); current prices are shown at /pricing and at checkout.
- Payments are processed by Stripe. By subscribing you also agree to Stripe’s terms as they apply to your payment.
- Subscriptions auto-renew each billing period until cancelled. You authorize us (via Stripe) to charge your payment method each period for the seats you hold.
- You can change seat quantity, update payment details, or cancel at any time through the Stripe customer portal linked from your account portal.
5. Cancellation and refunds
Section titled “5. Cancellation and refunds”Cancellation stops the next renewal; access continues until the end of the current paid period. Monthly charges already incurred are non-refundable except where required by law or as stated in our Refund Policy, which is incorporated into these Terms.
6. Suspension and termination
Section titled “6. Suspension and termination”We may suspend or terminate access to the paid Service for non-payment, for abuse of a Seat Key or the Service, or for material breach of these Terms. Termination of the paid Service does not lock your files or delete anything on your disk (see §7).
7. Degrade-to-Free — never bricked, never locked out
Section titled “7. Degrade-to-Free — never bricked, never locked out”If your subscription lapses, is cancelled, or a Seat Key expires, the extension
degrades to the Free tier. Single-file calc-script intelligence keeps
working, and every file already on your disk stays yours and stays openable.
We do not lock, encrypt, hold hostage, or delete your local rules, workspaces,
or .epmwb/ data as a result of billing status. This commitment is a binding
term, not merely a marketing statement, and it prevails over any general “AS-IS”
language in §9.
8. Availability — no SLA for the hosted language server
Section titled “8. Availability — no SLA for the hosted language server”The hosted Groovy language server is provided on a reasonable-efforts, no-uptime-guarantee basis. It may be slow, unavailable, changed, relocated, or discontinued. Because calc-script intelligence runs locally, the extension remains usable when the hosted server is unreachable. We offer no service-level agreement for the hosted language server unless separately agreed in writing.
9. Acceptable use
Section titled “9. Acceptable use”You agree not to: (a) use the Service to violate law or third-party rights; (b) probe, overload, or attempt to break the security or integrity of the Service; (c) reverse-engineer the hosted Service except as permitted by law; or (d) share, resell, or circumvent Seat Keys or licensing gates.
10. Your Oracle EPM data
Section titled “10. Your Oracle EPM data”The extension’s Push, Deploy, and Execute operations mutate your own Oracle EPM environment, under your credentials, at your direction and sole risk. You are responsible for reviewing changes and maintaining backups; we are not liable for data loss, incorrect calculation results, or downstream effects in your Oracle EPM environment.
11. Warranty disclaimer
Section titled “11. Warranty disclaimer”Except for the specific commitments in §7, the Service is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
12. Limitation of liability
Section titled “12. Limitation of liability”To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total aggregate liability arising out of or relating to the Service will not exceed the amounts you paid us for the Service in the twelve months preceding the claim. Nothing in these Terms limits liability that cannot be limited by law.
13. Trademarks and Oracle non-affiliation
Section titled “13. Trademarks and Oracle non-affiliation”EPM Workbench is an independent product and is not affiliated with, endorsed by, or sponsored by Oracle. Oracle and Oracle EPM are trademarks of Oracle Corporation. All other trademarks are the property of their respective owners.
14. Changes to these Terms
Section titled “14. Changes to these Terms”We may update these Terms. Material changes will be communicated to account admins, and continued use of the paid Service after the effective date constitutes acceptance.
15. Governing law
Section titled “15. Governing law”These Terms are governed by the laws of [jurisdiction to be confirmed], without regard to conflict-of-laws rules, and the courts of that jurisdiction have exclusive venue, except where mandatory local consumer law provides otherwise.
